Terms of Service
These Terms of Service ("Terms") govern your access to and use of the PrimeVentures App and the websites at pvholdingscorp.com (the "Services"), operated by PV Holdings Corp ("PV Holdings", "we"). By using the Services, you agree to these Terms.
1. Eligibility
You must be at least 18 years old and authorized to bind the business you represent. You must comply with all applicable laws and with Meta's Platform Terms, Developer Policies, and Advertising Policies.
2. Accounts
- You are responsible for safeguarding your credentials and all activity under your account.
- You must provide accurate registration information and keep it current.
- You are responsible for the actions of users you invite to your workspace.
3. Use of the Services
You agree not to:
- Reverse engineer, decompile, or attempt to extract source code, except as permitted by law.
- Use the Services to violate any law, regulation, or Meta policy.
- Use the Services to send spam, scrape data, or facilitate prohibited advertising.
- Interfere with or disrupt the Services or related infrastructure.
- Resell or sublicense the Services without our written permission.
4. Meta Platform compliance
PrimeVentures App accesses Meta business assets only with your authorization through Facebook Login for Business and only for the use cases you approve. You are the data controller for any Meta data we process on your behalf, and you are responsible for ensuring you have all necessary rights and consents to that data.
5. Fees and payment
Paid plans are billed in advance on a monthly or annual basis. Fees are non-refundable except where required by law. We may change pricing on 30 days' notice; existing prepaid terms remain unaffected until renewal.
6. Intellectual property
PV Holdings owns all rights in the Services and its underlying technology. You retain ownership of content you upload. You grant PV Holdings a limited license to host, process, and display that content solely to deliver the Services.
7. Confidentiality
Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information, and at minimum a reasonable standard of care.
8. Termination
You may cancel your account at any time. We may suspend or terminate your access if you violate these Terms or if continued provision of the Services would violate law or Meta's policies. Upon termination, your right to use the Services ends and your data will be handled as described in the Privacy Policy.
9. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.
10. Limitation of liability
To the maximum extent permitted by law, PV Holdings will not be liable for any indirect, incidental, consequential, special, or exemplary damages, or for lost profits, revenue, or data. Our aggregate liability arising out of or relating to the Services will not exceed the fees you paid us in the 12 months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold PV Holdings harmless from any claim arising from your misuse of the Services, your content, or your violation of these Terms or applicable law.
12. Changes to the Terms
We may update these Terms from time to time. We will notify you of material changes by posting the new Terms here and updating the effective date. Your continued use of the Services constitutes acceptance.
13. Governing law and disputes
These Terms are governed by the laws of the jurisdiction where PV Holdings Corp is registered, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction.
